  • Serve as outside general counsel to various renewable energy, clean technology and mission-oriented entities.  Examples include a free-flow hydropower technology and project development company, a mid-scale wind energy turbine manufacturing company, a rainwater harvesting systems design and installation company, an anaerobic digester project consulting company, a medical device company, a nonprofit lender to renewable energy and energy efficiency projects, and a nonprofit that promotes savings among low-income populations.
  • Represent Virginia-based nonprofit in connection with multiple public school re-roofing and solar photovoltaic system installation projects as part of public/private New Orleans Solar Schools Initiative
  • Drafted and negotiated numerous energy service agreements for supplier of steam to commercial and institutional customers
  • Developed operation and maintenance services agreement for third party operator of utility-scale biomass energy project
  • Represented renewable energy equipment manufacturer in negotiation and drafting of technology license agreement with European company
  • Represented Town of Orleans, MA with respect to preparation of form of wind energy lease as part of development of town-sponsored community-scale wind energy project
  • Represented public entities and nonprofits in negotiation and drafting of agreements for the purchase and sale of renewable energy certificates
  • Represented nonprofit client in negotiation and drafting of various agreements for the purchase and sale of air pollution allowances
  • Represented Cape Light Compact in negotiation and drafting of program agreement and other documents relating to a green affordable housing program funded by the Massachusetts Renewable Energy Trust
  • Negotiated single stream recycling services agreement on behalf of Town of North Andover, MA
  • Represented D.C.-based nonprofit with respect to numerous agreements with Fortune 500 companies to provide greenhouse gas emissions inventory and related services

  • Represented nonprofit in an amalgamation with a larger nonprofit structured as a contribution of both restricted and unrestricted assets
  • Managed major restructuring of public multinational medical device company and assisted in related $1.3 billion split-off and merger transaction with Fortune 50 medical and pharmaceutical company
